General Terms and Conditions of Sale (GTCS)


1. Purpose and Scope

The present General Terms and Conditions of Sale (GTC) aim to define the terms and conditions of sale, rental, and installation of audiovisual equipment by the company AUVILUX to its professional or private clients. They apply to all services provided by the Company, except for specific conditions agreed in writing between the parties.

2. Acceptance of the General Terms and Conditions of Sale

Any order for services or equipment placed with the Company implies the Client's full and unconditional acceptance of these General Terms and Conditions. No particular condition may, unless expressly accepted in writing by the Company, prevail over these General Terms and Conditions.

3. Orders

Orders must be placed in writing and only become final after express acceptance by the Company, evidenced by an order acknowledgment or the delivery of products and services. The Company reserves the right to refuse an order for legitimate reasons, particularly in the event of prior non-payment.

4. Price

The prices of products and services are those indicated on the quotes established by the Company. They are expressed in euros and excluding VAT (HT). The applicable VAT rate is that in force in the Grand Duchy of Luxembourg on the day of invoicing. The Company reserves the right to modify its prices at any time, subject to the application of the price in force on the day of the order.

5. Payment Terms

Invoices are payable within 30 days from the date of invoicing, unless otherwise specified in the quotation accepted by the Client. A deposit of 50% of the total amount including all taxes (VAT) is required upon the validation of the order by the Client. Any delay in payment will automatically incur, without prior notice, a late payment penalty equal to three times the current legal interest rate, as well as a fixed compensation for recovery costs of €40.

6. Delivery and Installation

The delivery and installation times are provided as a guideline and depend in particular on the availability of the products. Any potential delays cannot give rise to damages or the cancellation of the order by the Client. The Company disclaims all responsibility in the event of an inability to install due to insufficient preparation of the site by the Client.

 

7. Retention of title

The Company retains full ownership of the products sold until full payment of their price by the Client. In the event of non-payment, the Company reserves the right to recover the equipment, at the Client's expense and risk.

8. Equipment rental

8.1 Duration and return: The rental period is defined in the contract signed by the Client. At the end of the rental period, the equipment must be returned in good condition, failing which the necessary repairs will be charged.

8.2 Responsibility: The Client is responsible for the rented equipment and must ensure its maintenance and security. In the event of loss, theft or damage, the costs of replacement or repair will be charged to the Client.

9. Warranties and Liability

The products sold by the Company are covered by the legal warranty. The Company's liability is strictly limited to the replacement or repair of defective equipment, excluding any compensation for any other loss suffered by the Client.

From the start of the works, the project owner is responsible for all damages caused by circumstances outside the scope of the contract such as storms, hail, earthquakes, flooding, fire, theft, vandalism, etc.

10. Rupture unilatérale du contrat

En cas de rupture unilatérale du contrat d’entreprise par le Client préalablement à son exécution, ce dernier est redevable de dommages et intérêts forfaitaires à  AUVILUX selon les modalités suivantes :

  • Pour les contrats dont la valeur est inférieure ou égale à 5.000,00 €, les dommages et intérêts s’élèvent à 25 % du montant du contrat, avec un minimum de 250,00 €, sans préjudice pour AUVILUX de réclamer l’indemnisation des dommages supplémentaires subis.
  • Pour les contrats dont la valeur est supérieure à 5.000,00 €, les dommages et intérêts forfaitaires s’élèvent à 15 % du montant du contrat, sans préjudice pour AUVILUX de réclamer l’indemnisation des dommages supplémentaires subis.

11. Force majeure

La Société ne peut être tenue pour responsable de tout retard ou inexécution de ses obligations contractuelles dus à des cas de force majeure tels que définis par la législation luxembourgeoise (grève, catastrophe naturelle, guerre, pandémie, etc.).

12. Confidentialité et Protection des données

Les données personnelles collectées dans le cadre de l'exécution des commandes sont traitées conformément à la législation en vigueur en matière de protection des données (RGPD). Le Client dispose d’un droit d’accès, de rectification et de suppression des données le concernant.

13. Litiges et Droit applicable

Les présentes CGV sont régies par le droit luxembourgeois. En cas de litige, les parties s'engagent à rechercher une solution amiable avant toute action judiciaire. À défaut, les tribunaux compétents du siège de la Société seront seuls compétents.

14. Modifications des Conditions Générales de Vente

La Société se réserve le droit de modifier à tout moment les présentes CGV. Les nouvelles conditions seront applicables à toutes commandes postérieures à leur publication.
